Agreement
By purchasing this service, you agree to the following. This document comprises the entire understanding between both the purchaser of this service and the photographer, Autumn Phoenix (AKA Chad Tarves).

Scope of work
The Photographer agrees to provide DPI Professional Headshot Day 12/12/2025 services as specified in this agreement. The services include standard professional headshots on December 12, 2025, at Downtown Pittsfield, inc., 431 North St. in Pittsfield, MA.

Payment and Fees
Total Fee: The total fee for DPI Professional Headshot Day 12/12/2025 services is $150. This includes up to 20 minutes of DPI Professional Headshot Day 12/12/2025 coverage at the time agreed upon at checkout.
• Total Payment: $150. This payment becomes non-refundable as of December 12, 2025 (day of session).

Refund and Cancellation Policy
• All payments made by the Client(s) are non-refundable according to the schedule outlined above.
• Cancellations must be communicated in writing. You can do so by emailing AP@Autumnphoenixphotography.com with subject line “December 12, 2025 DPI Headshot Cancellation.”

Rescheduling
The Client(s) may cancel the DPI Professional Headshot Day 12/12/2025 services with at least 72 hours notice.

Photographer Cancellations
If the Photographer cannot perform due to illness, emergency, or uncontrollable circumstances, the Photographer will make all reasonable efforts to find a replacement. If no replacement is available, liability is limited to a refund of payments received. ______________________________________________________________________
DPI Professional Headshot Day 12/12/2025 Schedule
• Both the Client(s) and the Photographer agree to adhere to the agreed-upon schedule to ensure comprehensive photographic coverage. Delays, disruptions, or changes to the schedule may impact the quality or quantity of photographs.
• Photography Start Time and End Time is determined upon what the client decides on at checkout on the Autumn Phoenix Photography Shopify store (APArtLLC.Store)

Copyright and Usage Rights
• Photographer’s Rights: The copyright of all photographs remains with the Photographer.
• Clients’ Usage: The Client(s) receive(s) a non-commercial, personal-use license to print, share, and display the photographs. Commercial use or resale of images requires the Photographer’s prior written consent.
• Photographer’s Use: The Photographer retains the right to use the images for portfolio purposes, promotional materials, advertising, and other professional uses. ______________________________________________________________________
Model Release
The Client(s) grant(s) Autumn Phoenix Photography the unrestricted right to use, publish, and distribute photographs taken during the DPI Professional Headshot Day 12/12/2025 session, including the likenesses of the Client(s) and any individuals accompanying them (including minors for whom the Client(s) is/are legally responsible), for promotional purposes such as portfolio display, social media, website content, and advertising. The Client(s) affirm(s) that they have the authority to grant such permissions on behalf of all individuals photographed.

Image Delivery and Editing
•Editing: The style of photography shall be agreed upon by the Client(s) and the Photographer during the session; however, the Photographer shall retain final discretion during the DPI Professional Headshot Day 12/12/2025 and editing process, as needed.
•Delivery Timeframe: Edited images will be delivered within 45 via Google Drive. The client(s) will have 45 from the date of delivery to download their images. After 45, there will be a $75.00 charge to upload the photos again.
•Included Images: The Client(s) will receive up to up to 2 high-quality edited JPEG images and unedited high-quality JPEG images.
Additional images may be purchased at a rate of $20 per photo.

Limit of Liability
In the unlikely event of loss, damage, or failure to deliver the photographs due to technical issues, theft, or unforeseen circumstances, the Photographer’s liability is limited to the return of payments received. ______________________________________________________________________
Force Majeure Neither party shall be held liable for failure to perform obligations under this Agreement due to events beyond reasonable control, such as natural disasters, strikes, road closures, or other unforeseen events. ______________________________________________________________________
Returned Payments Returned payments (e.g., bounced checks) are subject to a $50 fee. The Client(s) is/are responsible for any collection or legal fees associated with enforcing payment terms. Checks should be made payable to Autumn Phoenix Photography.

Mitigation Clause
In the event of any breach, delay, or failure to perform any obligation under this Agreement by either Party, the non-breaching Party agrees to take reasonable steps to mitigate any damages, loss, or inconvenience resulting from such breach or delay. This includes, but is not limited to, attempting to resolve the issue through communication, negotiation, or alternative arrangements as appropriate, prior to pursuing any legal remedies. Both Parties acknowledge that they have a duty to minimize the impact of any breach or failure to perform and will cooperate in good faith to address and resolve the situation.

Legal Fees Clause
In the event of any legal action or dispute arising out of or related to this Agreement in which the Photographer is the prevailing party, the client(s) agree(s) to pay the Photographer for all reasonable legal fees, costs, and expenses incurred by the Photographer in connection with such action or dispute, including but not limited to attorney’s fees, court costs, and any other related expenses.

Governing Clause
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. In the event that any disputes arising under this Agreement shall be resolved through litigation, the venue shall remain exclusively in Berkshire County, Massachusetts.
